1. Who you're contracting with

The CEUsy service is owned and operated by Last Round Clothing LLC, a Pennsylvania limited liability company ("Last Round Clothing LLC", "we", "us", "our"). "CEUsy" is a product name and brand owned by Last Round Clothing LLC; it is not a separate legal entity. These Terms govern your use of the CEUsy website at ceusy.com and the CEUsy continuing-education tracking application (collectively, the "Service"). By creating an account or using the Service you are entering into a binding agreement with Last Round Clothing LLC and you agree to these Terms.

2. The Service

CEUsy is software that helps physical therapists, physical therapist assistants, and other healthcare professionals track continuing-education units (CEUs), license renewals, and state board requirements. CEUsy is a record-keeping tool. It is not a regulator, a licensing board, or a substitute for verifying requirements directly with your state board. You are responsible for the accuracy of information you enter and for meeting your own license requirements.

3. Accounts & acceptable use

You must be at least 18 years old to use the Service. You are responsible for keeping your account credentials confidential and for all activity under your account. You must provide accurate information and keep it updated.

You agree not to:

  • Use the Service unlawfully or to commit fraud, abuse, or spam.
  • Infringe anyone else's intellectual property or privacy rights.
  • Interfere with the Service's security — including probing, scanning, scraping, uploading malware, or attempting to bypass authentication or rate limits.
  • Resell, sublicense, or redistribute the Service, or use it to build a competing product.
  • Reverse-engineer, decompile, or attempt to extract source code.

4. AI features

CEUsy uses artificial intelligence — including optical character recognition (OCR) for certificates and recommendation models for courses — to assist with CEU tracking. You agree that:

  • You will not upload content you don't have the right to use, and you will not use AI features to generate unlawful, infringing, deceptive, or harmful content.
  • AI outputs may be inaccurate or incomplete. OCR may misread certificates and recommendations may be wrong. You are responsible for verifying every CEU entry, hour total, category, and renewal deadline before relying on it for licensure. CEUsy outputs are not legal, medical, or professional advice.
  • We may filter, refuse, or remove AI requests and outputs that we believe violate these Terms or our content policies.

5. Your content

You retain ownership of certificates, license details, and notes you upload ("Your Content"). You grant CEUsy a limited, worldwide, royalty-free license to host, process, and display Your Content solely to operate and improve the Service for you. We do not sell Your Content. 6. Our intellectual property

CEUsy, the CEUsy name and logo, the software, the user interface, and all related documentation are owned by Last Round Clothing LLC and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with your plan.

7. Payments, plans & cancellation

CEUsy offers a free plan and paid subscriptions (Pro monthly, Pro yearly, and Founding Member). Subscription fees, billing intervals, and any taxes are shown at checkout and renew automatically until canceled. You can cancel any time from your account; access continues through the end of the paid period.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms in addition to these Terms.

Refunds are handled per our Refund Policy.

8. Service availability

We work hard to keep CEUsy running, but we do not guarantee that the Service will be uninterrupted, error-free, or available at any specific time. We may add, change, or remove features. We may schedule maintenance windows and apply updates without notice when needed for security or stability.

9. Suspension & termination

We may suspend or terminate your access to the Service if you materially breach these Terms, if your account becomes overdue, if we reasonably believe your use poses a security or fraud risk, or if you repeatedly violate our policies. You may close your account at any time. On termination, you may export your data for a reasonable period before we delete it, and surviving clauses (IP, liability, indemnity, governing law) continue to apply.

10. Warranties & disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. CEUsy does not warrant that the Service will meet your specific compliance, licensure, or regulatory needs.

11. Limitation of liability

To the fullest extent permitted by law, CEUsy's aggregate liability arising out of or related to the Service will not exceed the greater of (a) the fees you paid to CEUsy in the twelve months before the event giving rise to the claim, or (b) one hundred US dollars ($100). CEUsy will not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or missed license renewals. These limits do not apply to liability for fraud, gross negligence, or anything that cannot be limited under applicable law.

12. Indemnity

You agree to indemnify and hold harmless Last Round Clothing LLC from any claim arising out of Your Content, your violation of these Terms, or your unlawful use of the Service.

13. Governing law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law rules. The exclusive venue for any dispute is the state or federal courts located in Pennsylvania.

14. Changes

We may update these Terms from time to time. If a change is material, we will give you reasonable notice (for example, by email or in-app). Continued use of the Service after changes take effect means you accept the updated Terms.
